Terms of Reference for Members of the Nominations Committee

Constitution

The Executive Committee has resolved to establish a Sub-Committee of the Executive Committee to be known as the Nominations Committee.

Role

  • To encourage and facilitate nominations from the Council and the membership of the Society to fill vacant posts within the Society and its Committees.
  • To play a pro-active role in succession planning: encouraging, where possible, overlap and the transfer of expertise between past, present and future office holders in the Society.
  • To encourage younger members to participate in the governance of the Society.
  • Together with the Awards Committee, to encourage nominations for Society Awards.
  • To review the structure, size and composition of the Executive Committee and make recommendations to the Executive Committee.

Membership

  • The Committee shall be appointed by the Executive Committee and the Chairperson of the Executive Committee will chair the Nominations Committee. The Nominations Committee shall consist of the President, the Chairperson and Vice Chairperson of the Executive Committee, and the Chairperson of the PPL Board. The committee shall have the power to co-opt other members as it deems appropriate. A quorum shall be two members.

Attendance at meetings

  • The Chief Executive, the Group Head of Society Activities and the Group Head of Publishing will attend meetings of the Nominations Committee as observers. Other senior staff may attend at the request of the Chairperson.

Frequency of meetings

  • The Nominations Committee shall meet when required, as determined by the Chairperson. It may conduct much of its business electronically where possible.

Authority

  • The authority to make nominations for the positions of President and the Chairperson and Vice Chairperson of the Executive Committee rests with the Council, to whom the Nominations Committee may report. Nominations to other Honorary Officer positions and to ordinary members of the Council and Executive Committee of the Society rests with the membership of the Society.

Reporting procedures

  • The Chairperson of the Nominations Committee will report directly to the Council and the Executive Committee as appropriate.
